Terms of Service
Effective date: October 12, 2026
Welcome to Guddle. These Terms of Service ("Terms") are a binding legal agreement between you and Guddle LLC, a New Hampshire limited liability company ("Guddle," "we," "us," or "our"). They govern your access to and use of the Guddle website at guddle.fish, the Guddle mobile applications, and every related feature, content, data, and service we offer (together, the "Service").
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 17) THAT AFFECT HOW DISPUTES ARE RESOLVED, AN ASSUMPTION OF RISK AND RELEASE (SECTION 9), A DISCLAIMER OF WARRANTIES (SECTION 13), AND A LIMITATION OF OUR LIABILITY (SECTION 14).
By creating an account, signing in, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Statement, which is incorporated into these Terms by reference. If you do not agree, do not access or use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of legal majority where you live (18 in most U.S. states), you may use the Service only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf and is responsible for your use. The Service is not directed to children under 13, and we do not knowingly allow them to register.
By using the Service, you represent and warrant that (a) you meet these requirements; (b) you have the legal capacity to enter into these Terms; (c) you are not barred from using the Service under any applicable law; and (d) you have not previously been suspended or removed from the Service.
2. Your Account
You may need an account to use most of the Service. You can register with an email address and password or through a third-party sign-in provider such as Google or Apple. You agree to:
- provide accurate, current, and complete information and keep it up to date;
- keep your password and sign-in credentials confidential and not share your account with anyone;
- notify us immediately at hello@guddle.fish if you suspect any unauthorized use of your account; and
- accept responsibility for all activity that occurs under your account.
We are not liable for any loss or damage arising from your failure to protect your credentials. We may refuse registration, reclaim usernames or display names, or require you to change them at our discretion.
3. The Service
Guddle helps anglers log catches, review river and fishing conditions, learn, and share information. Features include catch logging and journaling, maps, river and stream conditions, gauge and weather data, stocking information, regulations summaries, field reports, education modules, badges, analytics, and notifications.
Beta and evolving features. Guddle is in active development and parts of the Service are offered as beta, preview, or experimental features. They may contain errors, may change or be discontinued at any time, and are provided strictly "as is." We may add, change, suspend, or remove any part of the Service, temporarily or permanently, with or without notice, and we will not be liable to you or any third party for doing so.
No guarantee of availability. We do not guarantee that the Service will be available at any particular time or location, uninterrupted, timely, secure, or error-free, or that any content or data, including your User Content, will be preserved without loss. You are responsible for keeping your own copies of anything you care about.
4. Fishing Conditions, Data, and Information Are Not Guarantees
The Service displays information from many sources, including government agencies (such as the U.S. Geological Survey, NOAA, and state fish and wildlife agencies), third-party data providers, automated models and scoring, and other users. This information includes, without limitation, stream flow, water level, water temperature, weather, sunrise and sunset times, stocking reports, dam or tailwater releases, fishery incidents, access points, maps, river routes, regulations summaries, species information, condition ratings, recommendations, and field reports (together, "Conditions Information").
YOU ACKNOWLEDGE AND AGREE THAT:
- Conditions Information is provided for general informational and recreational planning purposes only. It may be inaccurate, incomplete, estimated, modeled, interpolated, delayed, out of date, or wrong, and conditions on the water can change rapidly and without warning.
- Condition ratings, scores, "good/fair/poor" labels, and similar indicators are automated estimates, not professional advice, safety assessments, or a representation that any location is safe, legal, accessible, or productive.
- Regulations summaries are not the law. Fishing regulations, seasons, limits, license requirements, closures, and emergency rules are set by government agencies and change frequently. You are solely responsible for knowing and complying with all applicable laws and regulations, which you must verify directly with the responsible agency before fishing.
- Maps and access points do not grant permission to enter any land or water. Maps, routes, and access points may be inaccurate or out of date and may depict private property. You are solely responsible for obtaining permission and respecting property rights, posted signs, and closures.
- You will not rely on the Service as your sole source of information for any decision affecting your safety, health, property, or legal compliance.
5. User Content
"User Content" means anything you submit, upload, post, or transmit through the Service, including catch logs, photographs, locations, species, measurements, gear, notes, field reports, profile information, display names, avatars, feedback, and imported data.
Ownership. You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to us.
License to Guddle. By submitting User Content, you grant Guddle and its affiliates, successors, and assigns a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable (through multiple tiers) license to host, store, cache, reproduce, modify, adapt, translate, analyze, create derivative works from, publicly display, publicly perform, distribute, and otherwise use your User Content, in any media now known or later developed, for the purposes of operating, providing, securing, maintaining, improving, and developing the Service and our other products and features. This includes, without limitation, using User Content to build aggregated and de-identified datasets and statistics, and to develop, train, test, and improve models and algorithms (for example, species identification, size verification, and conditions forecasting). Content you choose to make visible to others (such as field reports) may also be displayed to other users and used to promote the Service.
This license continues for as long as your User Content remains on the Service, and afterward to the extent (a) your User Content was shared with other users who have not deleted it, (b) it has been incorporated into aggregated or de-identified data or into trained models, or (c) we must retain it for legal, security, backup, or dispute-resolution purposes. Our use of personal information is always subject to our Privacy Statement, which describes the visibility controls that apply to your content, including that precise catch locations are private by default.
Your representations. You represent and warrant that (a) you own or have all rights, licenses, consents, and permissions necessary to submit your User Content and grant the license above; (b) your User Content, and our use of it as permitted by these Terms, does not and will not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights, or violate any law; and (c) you have the consent of every identifiable person who appears in any photo you upload.
Moral rights. To the extent permitted by law, you waive, and agree not to assert, any moral rights or rights of attribution you may have in your User Content against Guddle or our users.
No obligation to monitor. We are not obligated to host, display, review, or monitor User Content, but we may do so, and we may remove, refuse, edit, or restrict any User Content at any time for any reason or no reason, without notice or liability. You are solely responsible for your User Content and the consequences of sharing it. We do not endorse any User Content, and we are not responsible for User Content posted by others.
6. Feedback
If you send us ideas, suggestions, bug reports, change requests, or other feedback ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable right to use, disclose, and exploit that Feedback for any purpose without compensation or attribution to you. Feedback is not confidential, and we have no obligation to use it.
7. Acceptable Use
You agree not to, and not to attempt to, or to help anyone else to:
- violate any law or regulation, including fishing, wildlife, conservation, trespass, privacy, and intellectual property laws, or use the Service to plan or facilitate poaching or other illegal take;
- post false, misleading, or fabricated catch logs, field reports, or conditions information, or impersonate any person or entity or misrepresent your affiliation with anyone;
- post content that is unlawful, defamatory, harassing, threatening, hateful, obscene, sexually explicit, violent, or invasive of another person's privacy, including another person's location or personal information without consent;
- upload viruses, malware, or any harmful code, or interfere with, disrupt, overload, or impose an unreasonable load on the Service or its infrastructure;
- access, scrape, crawl, spider, harvest, or collect data or content from the Service by automated means (including bots and AI or machine-learning agents), or use any content or data from the Service to train or develop any artificial-intelligence or machine-learning model, except as we expressly permit in writing;
- copy, reproduce, republish, frame, sell, resell, sublicense, or commercially exploit the Service or any data, content, or Conditions Information obtained through it;
- reverse engineer, decompile, disassemble, or attempt to derive the source code, models, algorithms, or underlying data of the Service, except to the extent that this restriction is prohibited by law;
- bypass, disable, or circumvent any security, rate-limiting, access-control, or content-protection feature, or probe, scan, or test the vulnerability of the Service without our prior written permission;
- access the Service through any means other than the interfaces we provide, or create accounts by automated means or under false pretenses;
- access or use the Service to build a competing product or service, or for benchmarking or competitive analysis; or
- use the Service in any way that could harm Guddle, our users, or the public, or that we reasonably determine is objectionable.
8. Reporting and Moderation
You may report content that you believe violates these Terms using the in-app reporting tools or by emailing hello@guddle.fish. We may, but are not obligated to, investigate and act on reports, and our moderation decisions are final.
9. Outdoor Activity Risks: Assumption of Risk and Release
FISHING AND RELATED OUTDOOR ACTIVITIES ARE INHERENTLY DANGEROUS. They involve risks that include, without limitation: drowning; being swept away by currents; sudden rises in water level from rain, snowmelt, or dam and tailwater releases; slipping, falling, or wading accidents; cold-water immersion and hypothermia; heat illness; lightning and severe weather; wildlife and insects; hooks and equipment injuries; vehicle and travel accidents; remote locations far from medical help; water-quality hazards; and the acts or omissions of other people. Many of these risks cannot be eliminated by any amount of care, and Conditions Information shown in the Service may fail to warn you of them.
You are solely responsible for your own safety and for the safety of anyone with you. You must use your own judgment, assess conditions in person, carry appropriate safety equipment, obey all posted warnings and closures, and never enter water that you have not personally judged to be safe.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS, KNOWN AND UNKNOWN, OF ANY ACTIVITY YOU UNDERTAKE IN CONNECTION WITH YOUR USE OF THE SERVICE, AND YOU RELEASE, WAIVE, AND FOREVER DISCHARGE GUDDLE AND THE GUDDLE PARTIES (DEFINED IN SECTION 15) FROM ANY AND ALL CLAIMS, DEMANDS, AND LIABILITY FOR PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE, OR OTHER LOSS ARISING OUT OF OR RELATED TO THOSE ACTIVITIES OR TO YOUR RELIANCE ON ANY CONDITIONS INFORMATION OR USER CONTENT.
10. Disputes Between Users and Third-Party Content
You are solely responsible for your interactions with other users. Guddle is not a party to, and has no obligation to resolve, any dispute between you and another user or any third party. To the fullest extent permitted by law, you release the Guddle Parties from any claims, demands, and damages of every kind, known and unknown, arising out of or connected with any such dispute.
If you are a California resident, you waive California Civil Code § 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You also waive any similar law in any other jurisdiction.
11. Third-Party Services and Links
The Service may integrate with, rely on, or link to third-party websites, data sources, sign-in providers, app stores, and services that we do not control ("Third-Party Services"). Your use of any Third-Party Service is at your own risk and subject to that third party's terms and privacy policy. We do not endorse, and are not responsible or liable for, any Third-Party Service, including its availability, accuracy, content, or practices.
12. Intellectual Property
The Service and everything in it, other than User Content, including software, code, models, algorithms, databases, compilations of data, condition scores, designs, text, graphics, illustrations, logos, the "Guddle" name, and all related trademarks, service marks, and trade dress (together, "Guddle Materials"), are owned by Guddle or its licensors and are protected by copyright, trademark, trade secret, database, and other intellectual property laws. Except for the limited license below, no right, title, or interest in any Guddle Materials is transferred to you, and all rights not expressly granted are reserved by Guddle.
Subject to your compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own personal, non-commercial use. You may not use the Guddle name, logos, or other marks without our prior written permission.
Copyright Complaints (DMCA)
We respect intellectual property rights. If you believe material on the Service infringes your copyright, send a notice to our designated agent at hello@guddle.fish (subject line: "DMCA Notice"). Your notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and where it appears on the Service; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf. Counter-notices must meet the requirements of 17 U.S.C. § 512(g)(3). We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers. Knowingly misrepresenting that material is infringing may expose you to liability.
13. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, ALL CONDITIONS INFORMATION, USER CONTENT, GUDDLE MATERIALS, AND EVERYTHING ELSE MADE AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. GUDDLE AND THE GUDDLE PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY CONDITIONS INFORMATION, REGULATIONS SUMMARY, MAP, ACCESS POINT, RATING, OR OTHER INFORMATION IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE; (C) ANY LOCATION IS SAFE, LEGAL, OR ACCESSIBLE; (D) ANY DEFECTS WILL BE CORRECTED; (E) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (F) YOUR DATA OR USER CONTENT WILL NOT BE LOST OR CORRUPTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM GUDDLE OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL GUDDLE OR ANY OF THE GUDDLE PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, OR FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE, ANY CONDITIONS INFORMATION, ANY USER CONTENT, OR ANY CONDUCT OF ANY USER OR THIRD PARTY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF GUDDLE AND THE GUDDLE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID GUDDLE TO USE THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US $50).
These limitations are an essential basis of the bargain between you and Guddle, apply even if any limited remedy fails of its essential purpose, and apply to the Guddle Parties as third-party beneficiaries. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you; in that case, our liability will be limited to the fullest extent permitted by law.
15. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Guddle and its members, managers, officers, employees, contractors, agents, licensors, service providers, successors, and assigns (together, the "Guddle Parties") from and against any and all claims, demands, actions, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party, including any fishing, wildlife, trespass, privacy, or intellectual property law; (e) any activity you undertake in connection with the Service, including fishing and travel; or (f) your interactions with any other user. We may assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate with our defense. You will not settle any such matter without our prior written consent.
16. Suspension and Termination
We may suspend, restrict, or terminate your access to all or part of the Service, or delete your account and User Content, at any time, for any reason or no reason, with or without notice, including if we believe you have violated these Terms or the law, created risk or possible legal exposure for us, or if we discontinue the Service. We will not be liable to you or any third party for any suspension or termination.
You may stop using the Service at any time and may request deletion of your account as described in our Privacy Statement. Upon termination, your right to use the Service ends immediately. Sections 4, 5 (as to the license for content already shared, aggregated, de-identified, or used in models), 6, 7, and 9 through 20, and any other provision that by its nature should survive, survive termination.
17. Dispute Resolution: Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH GUDDLE THROUGH INDIVIDUAL ARBITRATION AND LIMITS HOW YOU CAN SEEK RELIEF.
17.1 Informal resolution first. Before starting any arbitration or court proceeding, you and Guddle agree to try to resolve the dispute informally. The party raising a dispute must send the other a written notice describing the claim and the relief sought. Notices to Guddle must be sent to hello@guddle.fish with the subject line "Notice of Dispute." If the dispute is not resolved within sixty (60) days after the notice is received, either party may begin arbitration. Statutes of limitation are tolled during this period.
17.2 Agreement to arbitrate. Except as provided in Section 17.5, you and Guddle agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and Guddle, including the validity, scope, or enforceability of this arbitration agreement (together, "Disputes"), will be resolved exclusively by final and binding arbitration on an individual basis. This agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
17.3 Arbitration rules and procedure. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms, before a single arbitrator. Unless the parties agree otherwise, the arbitration will be conducted by video conference or based on written submissions, or, if an in-person hearing is required, in the county where you reside or in the State of New Hampshire. Payment of filing, administration, and arbitrator fees will be governed by the AAA's rules. The arbitrator may award any individual relief that a court could award, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
17.4 Class action and jury trial waiver. YOU AND GUDDLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND GUDDLE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. If this Section 17.4 is found unenforceable as to any claim, that claim (and only that claim) must be severed and brought in court, and will be stayed pending the completion of any arbitration of the remaining claims.
17.5 Exceptions. Either party may (a) bring an individual action in small claims court if it qualifies; and (b) seek injunctive or other equitable relief in court to protect its intellectual property rights or to stop unauthorized access to or misuse of the Service.
17.6 Mass filings. If twenty-five (25) or more substantially similar demands for arbitration are filed against Guddle by or with the assistance of the same or coordinated counsel, the demands will be administered in staged batches of no more than twenty-five (25) demands at a time, with one arbitrator per batch, and the remaining demands will be held in abeyance (with statutes of limitation tolled) until each batch is resolved, to the extent permitted by the AAA's rules.
17.7 30-day right to opt out. You may opt out of this arbitration agreement by emailing hello@guddle.fish within thirty (30) days after you first accept these Terms, with the subject line "Arbitration Opt-Out" and your name and the email address associated with your account. Opting out will not affect any other part of these Terms.
17.8 Changes to this section. If we make a material change to this Section 17, the change will not apply to any Dispute of which we had written notice before the change took effect.
18. Governing Law and Venue
These Terms and any Dispute are governed by the laws of the State of New Hampshire, without regard to its conflict-of-laws rules, and, where applicable, by the Federal Arbitration Act. For any Dispute that is not subject to arbitration, you and Guddle consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of New Hampshire, and waive any objection based on inconvenient forum.
Time limit for claims. To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred.
19. Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "Effective date" above, and for material changes we will give reasonable advance notice, such as by notice in the Service or by email. Changes take effect on the effective date stated. Your continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Service.
20. Mobile App Store Terms
If you download the Service from the Apple App Store or Google Play, you also agree to the following:
- These Terms are between you and Guddle only, not Apple Inc. or Google LLC (each an "App Store Provider"). Guddle, not the App Store Provider, is solely responsible for the app and its content.
- Your license to use the app is limited to use on devices that you own or control, as permitted by the applicable App Store Provider's usage rules.
- The App Store Provider has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the maximum extent permitted by law, the App Store Provider has no other warranty obligation for the app, and any other claims, losses, liabilities, damages, costs, or expenses resulting from any failure to conform to a warranty are governed by these Terms.
- The App Store Provider is not responsible for addressing any claims by you or a third party relating to the app, including product liability claims, claims that the app fails to conform to any legal or regulatory requirement, or claims arising under consumer protection, privacy, or similar laws.
- In the event of any third-party claim that the app or your use of it infringes that third party's intellectual property rights, Guddle, not the App Store Provider, will be responsible for the investigation, defense, settlement, and discharge of that claim, as and to the extent required by these Terms.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms of agreement when using the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary.
21. General Terms
- Entire agreement. These Terms, together with the Privacy Statement and any additional terms we present to you for specific features, are the entire agreement between you and Guddle about the Service and supersede all prior agreements and understandings.
- Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign or transfer these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.
- Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, severe weather, government action, outages of utilities, internet, hosting, or data providers, labor disputes, or acts of war or terrorism.
- No third-party beneficiaries. Except for the Guddle Parties and as provided in Section 20, these Terms do not create any third-party beneficiary rights.
- Relationship. No agency, partnership, joint venture, employment, or fiduciary relationship is created by these Terms.
- Electronic communications. You consent to receive communications from us electronically, including by email and in-app notice, and agree that these communications satisfy any legal requirement that such communications be in writing.
- Headings and interpretation. Headings are for convenience only. The words "including" and "include" mean "including without limitation."
- Export. You will comply with all applicable U.S. export control and sanctions laws in your use of the Service.
